TERMS AND CONDITIONS
These are the complete terms and conditions of the ENC
Press Affiliate Program. Please actually read them before
clicking on “I AGREE.”
Term of the Agreement
The affiliate relationship will begin at such time as
ENC Press receives from the affiliate a receipt for e-mail
confirming that the affiliate’s Web site is accepted
into the program, and will end when terminated by the
affiliate or ENC Press.
Either party may terminate this agreement at any time,
for any reason, by giving the other party written notice
of termination. Termination will begin at such time as
the terminating party receives a receipt for its e-mail
terminating the agreement. Upon termination of the affiliate
relationship, the affiliate agrees to remove all links
to ENC Press. Final commissions will be paid in accordance
with this agreement, unless ENC Press has terminated the
account for unacceptable behavior as outlined below.
Relationship of Parties
This agreement does not create any legal partnership,
joint owned venture, sales representative or employee
relationship.
Payment of Commission
1. ENC Press will pay 10% commission on the net revenue
(“net revenue” in this context is defined
as advertised list price of the book less third-party
discounts, fees, and commissions if any) of sales of ENC
Press books identified as resulting from an affiliate
(a cookie system is used to track which affiliate a sale
comes from and the cookie is the only recognized means
of identifying a referral).
2. Payments will be made within 30 days of the end of
each calendar quarter.
3. Payments will be made through PayPal, with PayPal
fees payable by the affiliate.
4. If the amount of commission is less than US$25, then
the payment will be carried over until the next quarter.
5. No method of referral is recognized other than a click-through
on a link from an affiliate’s site that uses the
link URL provided under the affiliate program and that
has been recorded by the affiliate tracking.
6. Stats for the number of hits and actual sales that
come from the affiliate’s site will be provided
on request, but not more often than once a month.
7. Upon written request, the affiliate may examine or
cause to be examined through its representatives the books
and accounts of ENC Press insofar as they relate to the
tracking of sales through the affiliate’s Web site.
Said examination of ENC Press’s books shall take
place during regular business hours only, upon thirty
(30) days written notice to ENC Press, not more often
than once annually, and not more than once with respect
to a particular accounting statement. If an error in favor
of the affiliate is discovered as a result of such examination,
ENC Press will promptly pay to the affiliate the amount
of such error.
Responsibility for Affiliate’s Site
Affiliate retains all responsibility for all aspects
of its Web site and everything that appears on its site,
including operation, updating, managing of copyright disclaimers,
technical issues, and issues relating to the content of
the affiliate’s site. ENC Press disavows any liability
for any aspect of an affiliate Web site, which is the
affiliate’s property and responsibility. The affiliate
will indemnify and hold ENC Press harmless from all claims
and expenses (including attorneys’ fees) resulting
from the development and operation of its site.
Unacceptable Behavior
Unacceptable behavior consists of displaying a link to
ENC Press on any site that, at our discretion, is judged
offensive or likely to bring ENC Press into disrepute.
Without limitation or prejudice, this includes sites which:
• Make any untrue or misleading representations
about ENC Press or its titles
• Utilize pop-ups or pop-unders in ways that might
alienate readers
• Promote any illegal activity, including software
piracy or other violations of copyrights
• Engage in spamming
• Can in any way harm the image of ENC Press in
the eyes of readers
No commissions will be paid on sales, if any, referred
by a Web site that falls into one of the above categories.
Reserved Rights
ENC Press reserves the right to change the rate of commission
and/or the products included in the program, although
not without at least a week’s notice to existing
affiliates.
ENC Press reserves the right to terminate an affiliate’s
account at any time, with immediate effect, and not pay
the commission, if it’s found that the affiliate
is engaging in any form of unacceptable behavior listed
above.
ENC Press reserves the right to terminate an affiliate’s
account with immediate effect if it discovers that the
affiliate’s Web site has changed from acceptable
to unacceptable, as listed above, and pay the commission
accrued only up to the date of such discovery.
ENC Press reserves the right to amend or change these
terms and conditions. All affiliates will be notified
of any changes via e-mail.
